Following the recently published proposals for a merger between Bournville College and South and City College, we would like to update the position. When notice was published in February 2017 in the Sunday Mercury and the Guardian that Bournville College intended to transfer its assets and liabilities to  South and City College, the Transfer Date originally envisaged was 1st May 2017 (or as soon as reasonably possible thereafter). There have since been many complexities to manage by the Colleges to give effect to the merger but working together in a constructive way those issues are being resolved and the Corporations of the Colleges have agreed that the expected date of the transfer is now 1st August 2017.

The resolution that the College Corporations will be asked to approve is as follows:

In accordance with Article 26(1) of Bournville College’s Articles of Government, the Corporation has resolved to:

a. transfer the assets and liabilities of Bournville College of Further Education to South and City College Birmingham in accordance with section 27A and 27B of the Further and Higher Education Act 1992 (as amended)  with effect from one minute past midnight on 1 August 2017 (or as soon as reasonably possible thereafter subject to agreement by the Corporations of both colleges to the extension in writing) (‘Transfer Date’); and

b. immediately thereafter to dissolve Bournville College of Further Education in accordance with section 27A of the Further and Higher Education Act 1992 (as amended) on the condition that on or prior to the Transfer Date, the Corporation of South and City College Birmingham passes resolutions to:

a. approve an agreement between Bournville College of Further Education and South and City College Birmingham pursuant to which Bournville College transfers all its undertakings, assets and liabilities to South and City College (‘Transfer Agreement’); and

b. accept the transfer of all the property, rights and liabilities of Bournville College of Further Education as specified in the Transfer Agreement with effect from the Transfer Date.
